Definitions and Acceptance

• Company

  Omniwain Technologies Pvt. Ltd., Private Limited Company (Pvt Ltd), a company registered in Gurugram, with principal office at D-1/36, 2nd Floor, South City 2, Sector 49, Gurgaon, Haryana — 122018.

• User / Customer

  Anyone who visits the site or uses/buys the Services.

• Products

  The goods and digital products/services sold through the Services.

These Terms form a binding agreement between you and Omniwain Technologies Pvt. Ltd. and incorporate our Privacy Policy. If you disagree, do not use our Services.

Account Registration

To use certain features (e.g. placing orders, saving preferences), you may need to create an account by providing accurate personal and contact details. You are responsible for maintaining the confidentiality of your account credentials and for any activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts for any breach of these Terms.

Orders and Payment

• Ordering

  You can place orders via our website. All orders are subject to product availability and acceptance by us. We may decline or cancel orders for any reason (e.g. pricing errors, non-availability).

• Pricing

  Prices are as listed at time of purchase (in INR or specified currency). We reserve the right to update prices due to errors or changes. Prices exclude taxes and shipping unless stated. Any taxes (GST, duties) or fees are your responsibility.

• Payment

  Payment must be made in full by credit/debit card or other methods offered on site. All payments are processed securely; billing information is encrypted. By providing payment information, you confirm you are authorized to use that payment method.

Delivery

• Digital Delivery

  For digital products or services, delivery is by download, email, or account activation. Access credentials will be provided after purchase. No refunds are generally given for delivered digital content (see Refund & Cancellation Policy).

Returns, Refunds and Cancellations

• Refund / Replacement Rights

  In India, the Consumer Protection Act and E-commerce Rules 2020 require us to clearly state our refund policy. Digital products (reports, subscriptions) are generally non-refundable once delivered, except as required by law.

• Procedure

  To request a return or refund, please contact customer support with order details and reason. We will provide instructions. Once inspected, we will issue a refund to the original payment method.

• Exceptions

  Some items cannot be returned or refunded.

• Refund Timing

  Approved refunds will be processed promptly. If payment was via credit card, the refund may take several billing cycles to appear.

• Order Cancellations

  You may cancel pending orders without penalty (see Refund & Cancellation Policy).

Product Terms, Warranty & Disclaimers

Intellectual Property

All content on our site (text, graphics, logos, software) is our or our licensors' property, protected by copyright, trademark, and other laws. Omniwain Technologies Pvt. Ltd., logos, and product names are trademarks. You may not use or reproduce any of our intellectual property without permission. If you submit feedback or content to us (e.g. questions, suggestions), you grant Omniwain Technologies Pvt. Ltd. a perpetual, royalty-free license to use that content in any way, without obligation to you.

User-Generated Content

If our Services allow posting comments, reviews, or other user content, you agree not to submit any unlawful, defamatory, infringing, or harmful content. Omniwain Technologies Pvt. Ltd. is not responsible for user content except as required by law. We may remove or disable any content that violates our guidelines or is otherwise objectionable.

Account Suspension / Termination

We may suspend or terminate your account and access to Services at any time, for any reason including violation of these Terms, without notice. Upon termination, you must cease use of all licensed materials and services. Certain clauses (e.g. liability, IP, indemnity) survive termination.

Limitation of Liability

To the fullest extent permitted by law, Omniwain Technologies Pvt. Ltd. and its affiliates and suppliers will not be liable for any indirect, incidental, special or consequential damages (such as loss of profits, data, or goodwill) arising out of your use of the Services, even if advised of the possibility of such damages. In aggregate, our total liability for any claim is limited to the purchase price of the product or service that gave rise to the claim. This does not exclude liability for death or personal injury due to our negligence, or for fraudulent misrepresentation.

Indemnification

You agree to indemnify and hold Omniwain Technologies Pvt. Ltd., its officers, and employees harmless from any claims, losses, damages, or liabilities (including legal fees) arising from your breach of these Terms, your violation of any law or rights of a third party, or your misuse of the Services.

Governing Law and Dispute Resolution

These Terms are governed by the laws of State of Haryana, India, without regard to conflict of laws. Any disputes shall be resolved by the courts at Delhi (our jurisdiction), or through binding arbitration in India under the Arbitration and Conciliation Act. Users outside India: nothing herein limits your right to bring claims in your local courts.

Changes to Terms

We may revise these Terms (for example, to reflect legal changes) at any time by posting the updated version on our site. Material changes will be notified to users. Your continued use of the Services after changes means you accept the new Terms.
